Terms & Conditions

Welcome to SIPT. These Terms & Conditions ("Terms") govern your use of our website and your purchase of SIPT products, including our frozen smoothie cubes ("Products"). By placing an order or using our website, you agree to these Terms. Please read them carefully. They set out what you can expect from us, and what we ask of you.

SIPT is operated by Sipt Pty Ltd (ABN 18 682 560 149) ("SIPT", "we", "us", "our"). If you have any questions, contact us using the details in the Contact Us section below.

1. About Our Products

1.1. SIPT Products are frozen smoothie cubes made from real ingredients. They are perishable food products and must be kept frozen at all times until use.

1.2. Product images on our website are for illustration only. Actual Products may vary slightly in appearance, including natural variation in colour and texture, as we use real produce.

1.3. We may update our recipes, ingredients, packaging, and range from time to time. Always check the ingredient and allergen information on the packaging of the Product you receive before consuming it.

1.4. Our Products are supplied for personal, domestic use only. You must not resell or redistribute our Products commercially without our prior written consent.

2. Who Can Order

2.1. You must be at least 18 years of age and capable of entering into a legally binding agreement to place an order.

2.2. You agree to provide accurate, current, and complete information when placing an order, including your delivery address and contact details. We rely on this information to deliver your order safely. Errors may result in a failed delivery for which we are not responsible (see our Delivery & Refund Policy).

2.3. If you create an account, you are responsible for keeping your login details secure and for all activity under your account. Tell us promptly if you suspect unauthorised use of your account.

3. Orders & Acceptance

3.1. When you place an order, you are making an offer to purchase Products under these Terms. Our order confirmation email confirms receipt of your order, but a contract is only formed when we dispatch your order. In plain terms, this means that until your order is dispatched we may still cancel it (for example, if there is a pricing error), and if we do, we will refund you in full.

3.2. We may decline or cancel an order (in whole or in part) at our discretion, including where a Product is unavailable, your delivery address is outside our delivery areas, we suspect fraud, resale, or misuse of a promotion, or there has been a pricing or listing error. If we cancel your order for any reason, we will refund any amount you have paid for the cancelled Products in full.

3.3. As our Products are made and frozen in batches, availability may be limited. If an item in your order becomes unavailable, we will contact you to offer a substitute, a store credit, or a refund for that item.

3.4. We may set minimum or maximum order quantities or values from time to time. Any such limits will be shown on our website or at checkout.

4. Pricing & Payment

4.1. All prices are displayed in Australian Dollars (AUD) and include GST where applicable. Delivery fees, if any, are shown at checkout before you complete your purchase.

4.2. Payment is processed securely at the time of ordering through our payment providers via the Shopify platform. We do not store your full payment card details.

4.3. We may change our prices at any time, but changes will not affect orders we have already accepted.

4.4. If a Product is listed at an incorrect price due to an error, we may cancel the order and refund you in full, even after an order confirmation has been sent.

4.5. If you believe you have been charged incorrectly, please contact us first and give us a reasonable opportunity to resolve the issue before raising a dispute or chargeback with your bank. We keep records of orders, communications, and deliveries and will provide these to payment providers in the event of a dispute.

5. Subscriptions

This section applies only if you purchase a SIPT subscription, where offered.

5.1. Subscriptions automatically renew at the frequency you select, and your nominated payment method is charged automatically before each delivery.

5.2. You can pause, skip, change, or cancel your subscription at any time through your account on our website, provided you do so before your next order is charged. We will email you before each charge. Changes made after your order has been charged will apply from the following delivery.

5.3. If a subscription payment fails, we may pause your subscription until payment is resolved.

5.4. We will notify you by email at least 7 days before any price increase or material change to your subscription takes effect, and you can cancel online at any time before it applies.

5.5. We may pause deliveries over public holidays or scheduled breaks. We will give you notice in advance, your delivery dates will be shown in your account, and no charges are taken while deliveries are paused.

6. Promotions & Discount Codes

6.1. Promotional offers and discount codes are subject to any additional terms stated with the offer, cannot be exchanged for cash, and unless stated otherwise cannot be combined with other offers. We may withdraw or amend promotions at any time. We may cancel orders that misuse a promotion (for example, use of bulk-created accounts or expired codes).

6.2. Store credits we issue as a remedy for an order issue do not expire and include any delivery fee paid on the affected order. Store credits cannot be exchanged for cash and can only be used to purchase Products from our website.

7. Delivery

7.1. Delivery is available only within the delivery areas shown on our website or at checkout. Delivery areas, days and fees are shown at checkout, with further detail in our Delivery & Refund Policy, which forms part of these Terms. We may update our delivery areas, days, fees, and lead times from time to time as we grow. The details shown at checkout when you place your order apply to that order.

7.2. Because our Products are frozen, delivery is time and temperature sensitive. It is your responsibility to ensure that you or someone on your behalf is available to receive the delivery during your delivery window, that your address and access details are accurate, and that Products are transferred to a freezer immediately on arrival, as described in our Delivery & Refund Policy. If no one is available, our driver will leave your order at your door or nominated safe place, and responsibility for the order passes to you at that point.

8. Risk & Title

8.1. Risk in the Products passes to you on delivery. In plain terms, the Products become your responsibility once they are delivered to your nominated address (including being left in a safe place in line with your delivery instructions or our standard practice).

8.2. Title in the Products passes to you once we have received payment in full.

8.3. Once delivered, we are not responsible for loss, theft, or deterioration of Products, including deterioration caused by Products being left out of the freezer. This does not apply where the Products were not of acceptable quality at the time they were delivered.

9. Changes & Cancellations by You

9.1. Because our Products are perishable and prepared for your delivery in advance, orders can only be changed or cancelled before they have been charged. For one-time orders that is at checkout. For subscriptions it is when your next order is charged.

9.2. Once charged, your order has entered preparation and dispatch. It can no longer be changed or cancelled, and no refund is available for change of mind.

10. Refunds & Your Rights Under Australian Consumer Law

10.1. Our Products come with guarantees that cannot be excluded under the Australian Consumer Law ("ACL"). You are entitled to a replacement or refund for a major failure, and to compensation for other reasonably foreseeable loss or damage. You are also entitled to have the Products replaced or refunded if they fail to be of acceptable quality.

10.2. Nothing in these Terms excludes, restricts, or modifies your rights under the ACL.

10.3. Because our Products are perishable frozen food, we do not offer refunds, returns, or exchanges for change of mind. This includes, for example, no longer wanting the Products or ordering too many. This is standard for perishable goods and permitted under the ACL.

10.4. If there is a genuine problem with your order, for example Products arrive damaged, thawed, spoiled, or you receive the wrong items, we will make it right with a replacement, store credit, or refund, in accordance with the ACL. Where the ACL gives you the right to choose your remedy (for example, in the case of a major failure), we will honour your choice. The process and timeframes for reporting a problem are set out in our Delivery & Refund Policy.

11. Storing & Enjoying Your Products

11.1. Products must be placed in a freezer (at or below -18°C) as soon as possible after delivery and kept frozen until use. Storage and preparation guidance is provided on our packaging and website.

11.2. Once thawed, Products should be consumed promptly and must not be refrozen.

11.3. We are not responsible for any deterioration in quality or safety of Products caused by incorrect storage, handling, or preparation after delivery.

11.4. In the unlikely event of a product recall, we will publish recall information on our website and contact affected customers where possible. You agree to follow reasonable recall instructions, and we will refund or replace recalled Products.

12. Allergens & Health Information

12.1. Our Products are made in a kitchen that handles common allergens, which may include tree nuts, peanuts, dairy, soy, sesame, and gluten. While we take care in preparation, we cannot guarantee any Product is completely free from traces of allergens. Always review the ingredient and allergen information on the Product packaging before consuming.

12.2. If you have a food allergy, intolerance, or medical condition, or if you are pregnant or purchasing for a child, please review ingredients carefully and seek advice from a qualified health professional if unsure. Please note that we cannot customise Products or act on allergy information provided in order notes or messages; always rely on the ingredient and allergen information on the Product packaging.

12.3. Information on our website and packaging (including any nutritional or wellness content) is general information only. It is not medical, dietary, or health advice, and is not a substitute for advice from a qualified professional. Our Products are not intended to diagnose, treat, cure, or prevent any disease or condition.

13. Website Use

13.1. You may use our website for lawful, personal purposes only. You must not misuse the website, interfere with its operation, attempt to gain unauthorised access to any systems, scrape or harvest data, or use it to transmit anything unlawful, misleading, or harmful.

13.2. We may suspend, restrict, or terminate access to the website, close accounts, or refuse orders where we reasonably believe these Terms have been breached, or where a customer engages in abusive, threatening, or fraudulent conduct towards our team.

13.3. We aim to keep our website available and accurate, but we do not guarantee that it will be uninterrupted, error free, or free from viruses. Content on our website may occasionally contain errors, and we may correct them without notice.

13.4. Our website may contain links to third party websites. We are not responsible for the content or practices of those websites.

14. Intellectual Property

14.1. All content on our website and packaging, including the SIPT name, logo, branding, recipes, images, text, and design, is owned by or licensed to us and is protected by intellectual property laws. You must not copy, reproduce, or use it for commercial purposes without our prior written consent.

15. Reviews & Content You Share

15.1. If you submit reviews, photos, comments, or tag us in social media content, you grant us a non-exclusive, royalty-free licence to use that content to promote SIPT (for example, resharing your post). You confirm your content is your own and does not infringe anyone else's rights. We may decline to publish, or remove, content that is unlawful, offensive, or misleading.

16. Marketing Communications

16.1. If you opt in to receive marketing from us (for example, by joining our mailing list or waitlist), we may send you news, offers, and updates by email or SMS. You can unsubscribe at any time using the unsubscribe link in our emails, or by replying STOP to an SMS. Order and delivery notifications are service messages and are sent to all customers.

17. Liability

17.1. To the maximum extent permitted by law (and subject always to clause 10.1 and your rights under the ACL):

(a) we exclude all liability for indirect or consequential loss, loss of profits, or loss of opportunity arising out of or in connection with these Terms, your use of the website, or the Products; and

(b) where our liability cannot be excluded but can be limited, our liability is limited, at our option, to replacing the relevant Products, supplying equivalent Products, or refunding the price you paid for the relevant Products. Clause 17.1(b) does not apply to claims under the consumer guarantees in the ACL.

17.2. Nothing in these Terms limits any liability that cannot be limited by law, including under the ACL. In plain terms, nothing in this clause 17 affects your rights described in clause 10.

18. Events Beyond Our Control

18.1. We are not liable for delay or failure to perform our obligations to the extent caused by events beyond our reasonable control, including extreme weather, natural disasters, power or cold-chain failures at courier level, strikes, epidemics, or transport disruptions. If such an event affects your delivery, we will contact you as soon as practicable to rearrange delivery or provide a store credit or refund where appropriate.

19. Privacy

19.1. We handle your personal information in accordance with our Privacy Policy, available on our website. By using our website and placing orders, you acknowledge our Privacy Policy.

20. Resolving Concerns

20.1. If you have a concern or complaint, please contact us first using the details below. We aim to reply within two business days, and to resolve complaints quickly and fairly.

20.2. If we cannot resolve your concern, you may contact your local consumer protection agency (in Victoria, Consumer Affairs Victoria) or any other body with authority over the matter.

21. Changes to These Terms

21.1. We may update these Terms from time to time, including as our delivery areas and product range grow. The version published on our website at the time you place an order applies to that order. We encourage you to review these Terms periodically.

22. General

22.1. If any part of these Terms is found to be invalid or unenforceable, that part is removed and the rest of these Terms continues in effect.

22.2. Our failure to enforce any provision of these Terms is not a waiver of that provision.

22.3. We may assign or transfer our rights and obligations under these Terms in connection with a restructure or sale of our business. You may not assign your rights under these Terms without our consent.

22.4. These Terms, together with our Delivery & Refund Policy and Privacy Policy, form the entire agreement between you and us in relation to your use of our website and purchase of Products.

22.5. These Terms are governed by the laws of Victoria, Australia, and you submit to the non-exclusive jurisdiction of the courts of Victoria.
